1. BINDING AGREEMENT

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," "You") and MD SOFTWARE L.L.C-FZ ("Company," "We," "Us") regarding your use of WINMAX software and related services ("Service"). BY DOWNLOADING, INSTALLING, OR USING OUR SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

If you do not agree to these terms, you must immediately cease all use of our software and services. Continued use after any modifications to these terms constitutes acceptance of such changes.

2. SOFTWARE DESCRIPTION AND LIMITATIONS

WINMAX is PC optimization software designed to potentially improve gaming performance. PERFORMANCE RESULTS ARE NOT GUARANTEED and may vary significantly based on hardware, software configuration, and other factors beyond our control.

• Software modifies Windows system settings and registry entries
• Results depend on individual system configurations
• No guarantee of specific FPS improvements or performance gains
• Software may not be compatible with all systems or configurations
• Use is entirely at your own risk

3. STRICT LICENSE RESTRICTIONS

We grant you a limited, non-exclusive, non-transferable, revocable license to use WINMAX solely for personal use. VIOLATION OF LICENSE TERMS WILL RESULT IN IMMEDIATE TERMINATION WITHOUT REFUND.

PROHIBITED ACTIVITIES:

• Reverse engineering, decompiling, or disassembling the software
• Sharing, distributing, or reselling licenses
• Using license keys on multiple devices beyond permitted limits
• Creating derivative works or modifications
• Bypassing any security measures or license verification
• Using the software for commercial purposes without authorization
• Attempting to extract, copy, or steal intellectual property

4. PAYMENT TERMS AND NO-REFUND POLICY

ALL SALES ARE FINAL. NO REFUNDS WILL BE PROVIDED UNDER ANY CIRCUMSTANCES except where legally required by applicable consumer protection laws.

• Payments are processed through secure third-party providers
• Prices are subject to change without notice
• You are responsible for all applicable taxes and fees
• Chargebacks or payment disputes may result in account termination
• Free trials or versions do not entitle you to refunds of paid versions

5. COMPREHENSIVE DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We expressly disclaim all warranties, whether express, implied, or statutory, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of software functionality
• Uninterrupted or error-free operation
• Compatibility with your system or other software
• Achievement of specific performance improvements
• Data security or protection from system damage

6. MAXIMUM LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

WE SHALL NOT BE LIABLE FOR ANY:

• System damage, data loss, or corruption
• Lost profits, business interruption, or consequential damages
• Indirect, incidental, special, or punitive damages
• Damages from third-party software conflicts
• Hardware damage or system instability
• Loss of game performance or competitive disadvantage
• Any damages exceeding the purchase price

7. USER ACKNOWLEDGMENTS AND RISKS

BY USING THIS SOFTWARE, YOU ACKNOWLEDGE AND ACCEPT:

• System optimization involves inherent risks to system stability
• Registry and system modifications may cause unexpected behavior
• No guarantee of compatibility with antivirus or other software
• Performance claims are estimates and not guarantees
• You assume full responsibility for any system issues
• You should create system backups before use
• Technical support is provided on a best-effort basis

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MD SOFTWARE L.L.C-FZ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use or misuse of the software
• Violation of these terms or applicable laws
• Infringement of third-party rights
• System damage or data loss
• Any unauthorized distribution or sharing

9. TERMINATION AND ENFORCEMENT

We reserve the right to terminate your license immediately without notice for any violation of these terms. Upon termination:

• Your right to use the software ceases immediately
• You must uninstall and delete all copies
• No refund will be provided
• We may pursue legal remedies for damages
• License keys may be deactivated remotely

10. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved through binding arbitration in accordance with the arbitration rules of the UAE, and you waive any right to a jury trial or class action lawsuit.

11. MODIFICATIONS AND SEVERABILITY

We reserve the right to modify these terms at any time without prior notice. If any provision is found unenforceable, the remaining provisions remain in full force and effect.

12. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and MD SOFTWARE L.L.C-FZ and supersede all prior agreements, communications, or understandings relating to the subject matter herein.
